1. Introduction & Acceptance of Terms

Welcome to Card Advantage (“we”, “us”, “our”, or “the Platform”), a digital platform operated by Tomorrowready Limited(“the Company”), registered in New Zealand.

These Terms and Conditions (“Terms”) govern your access to and use of the Card Advantage website, mobile interface, and storefront located at cardadvantage.cc (collectively, the “Services”). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Services.

2. Definitions

  • Platform means the Card Advantage digital platform, including the inventory management system, storefront, and listing tools.
  • Seller means a registered user who lists trading cards for sale through the Platform’s storefront or exports listings to third-party marketplaces.
  • Buyer means any person who purchases trading cards listed on the Platform’s storefront.
  • Goods means the trading cards listed for sale by Sellers through the Platform.
  • Storefront means the buyer-facing commerce interface on the Platform where Goods are displayed for purchase.
  • Third-Party Marketplaces means external platforms including but not limited to TradeMe, eBay, and FetchTCG, to which Sellers may export listings.

3. Nature of the Platform — Marketplace Intermediary

Card Advantage is a digital marketplace platform, not a seller, buyer, agent, or party to any transaction.

Card Advantage provides technology infrastructure that enables Sellers to list, manage, and sell trading cards, and enables Buyers to discover and purchase those cards. Card Advantage does not:

  • Take ownership, possession, or custody of any Goods at any time;
  • Act as a seller, reseller, agent, or broker of Goods;
  • Set, control, or guarantee the price of any Goods (prices are determined solely by Sellers);
  • Participate in, conclude, or be a party to any contract of sale between a Seller and a Buyer;
  • Guarantee, warrant, or endorse the quality, safety, legality, authenticity, or accuracy of descriptions of any Goods.

All contracts for the sale and purchase of Goods are formed directly between the Seller and the Buyer. Card Advantage’s role is strictly limited to providing the digital platform that facilitates such transactions.

4. Seller Obligations & Compliance with New Zealand Law

Sellers who list Goods on the Platform must comply with all applicable New Zealand laws and regulations, including but not limited to:

4.1 Fair Trading Act 1986

  • Sellers must not engage in misleading or deceptive conduct, or conduct likely to mislead or deceive (section 9).
  • All listings must contain accurate descriptions of Goods. Sellers must not make false or misleading representations about the condition, grade, authenticity, rarity, or value of any trading card (sections 11–13).
  • Sellers must not make false or misleading claims about the price of Goods, including fake “was/now” pricing or artificial urgency.

4.2 Consumer Guarantees Act 1993

  • Where a Seller sells Goods in trade, the Consumer Guarantees Act 1993 applies. Sellers must ensure Goods are of acceptable quality, fit for purpose, match their description, and are delivered within a reasonable time.
  • Sellers are responsible for providing remedies (repair, replacement, refund) to Buyers for any Goods that fail to meet statutory guarantees.
  • Sellers acknowledge that contracting out of the Consumer Guarantees Act 1993 in relation to a consumer transaction is prohibited.

4.3 Contract and Commercial Law Act 2017

  • All contracts of sale formed through the Platform between a Seller and Buyer are governed by the Contract and Commercial Law Act 2017.
  • Sellers must honour the terms of any binding offer accepted by a Buyer through the Storefront.

4.4 Commerce Act 1986

  • Sellers must comply with the Commerce Act 1986, including prohibitions on anti-competitive conduct such as price-fixing, market allocation, or concerted practices with other Sellers.
  • Sellers must not engage in cartel provisions, substantially lessen competition in a market, or engage in resale price maintenance.
  • Sellers are solely responsible for ensuring their pricing and trading practices comply with competition law. Card Advantage does not set, recommend, or coordinate prices between Sellers.

4.5 Unsolicited Goods and Services Act 1975

  • Sellers must not send unsolicited Goods to any person and demand payment for them.

4.6 Tax Obligations

  • Sellers are solely responsible for determining and meeting their own tax obligations under Inland Revenue rules, including income tax and GST registration and filing where applicable.
  • Card Advantage does not provide tax advice and is not responsible for a Seller’s tax compliance.

5. Buyer Acknowledgements

By purchasing Goods through the Storefront, Buyers acknowledge and agree that:

  • The contract of sale is between the Buyer and the Seller, not between the Buyer and Card Advantage.
  • Card Advantage is not responsible for the quality, condition, authenticity, delivery, or any other aspect of the Goods.
  • Any dispute regarding Goods (including but not limited to non-delivery, misdescription, defective Goods, or refund requests) must be resolved directly with the Seller.
  • Buyers may have rights under the Consumer Guarantees Act 1993 against the Seller where the Seller is “in trade”.
  • Card Advantage may, at its discretion and in good faith, assist with facilitating communication between Buyers and Sellers but is not obligated to do so and has no liability for the outcome.

6. Card Advantage’s Responsibilities as a Digital Platform

Card Advantage’s responsibilities as a digital platform provider include:

  • Platform Availability: Maintaining the Platform and providing reasonable efforts to ensure uptime, subject to scheduled maintenance and unforeseen outages.
  • Data Handling: Managing user information in accordance with our Privacy Policy and the Privacy Act 2020 (see our Privacy Policy).
  • Payment Processing: Facilitating payment processing through third-party payment providers (e.g., Stripe). Card Advantage does not hold, receive, or transmit buyer funds directly — payments are processed by the payment provider on behalf of the Seller.
  • Good Faith Facilitation: Providing reasonable tools for Sellers and Buyers to communicate, transact, and resolve issues.

Card Advantage is not responsible for monitoring every listing, transaction, or user interaction on the Platform. However, we reserve the right to remove any listing, suspend access, or terminate accounts in accordance with these Terms.

7. Prohibited Conduct

Users must not, in connection with their use of the Platform:

  • List counterfeit, fake, or reproduction trading cards without clearly disclosing them as such;
  • Provide false, misleading, or deceptive information in any listing, profile, or communication;
  • Engage in fraudulent, dishonest, or deceptive conduct of any kind;
  • Infringe any intellectual property rights, including uploading images or content you do not have the right to use;
  • Use the Platform to sell any Goods that are illegal, stolen, or prohibited from sale under New Zealand law;
  • Attempt to circumvent Platform fees or payment processing systems;
  • Harass, threaten, or abuse other users, including through Platform messaging or listing descriptions;
  • Use bots, scrapers, or automated tools to access the Platform without our express written permission;
  • Attempt to gain unauthorised access to any part of the Platform, user accounts, or systems;
  • Engage in any conduct that violates the Commerce Act 1986, Fair Trading Act 1986, or any other applicable law.

8. Account Registration & Security

To use certain features of the Platform, you must register an account. You agree to:

  • Provide accurate and complete information during registration;
  • Maintain the security of your account credentials and not share them with others;
  • Promptly notify us of any unauthorised use of your account;
  • Be at least 18 years of age, or if under 18, use the Platform only with the involvement of a parent or legal guardian who agrees to these Terms;
  • Not create an account using a false identity or on behalf of another person without their consent.

You are solely responsible for all activity that occurs under your account.

9. Fees & Subscription

Card Advantage offers subscription plans for Sellers. The current plans, features, and pricing are displayed on the Subscription page. By subscribing to a paid plan:

  • You authorise us to charge the applicable subscription fees through our third-party payment provider (Stripe);
  • Fees are billed in advance on a recurring basis (annual or as selected) until cancelled;
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period;
  • Subscription fees are non-refundable except where required by law;
  • Card Advantage may change subscription fees upon reasonable notice. Changes take effect at the start of the next billing cycle.

Payment Processing Fees:Transactions processed through the Storefront via Stripe are subject to Stripe’s transaction fees. Sellers are responsible for all payment processing fees applicable to their sales.

10. Third-Party Marketplace Integration

The Platform enables Sellers to export listings to Third-Party Marketplaces including TradeMe, eBay, and FetchTCG. When using these integrations:

  • Sellers remain solely responsible for complying with the terms and conditions, policies, and fee structures of each Third-Party Marketplace;
  • Card Advantage is not responsible for any actions taken by Third-Party Marketplaces, including listing removals, account suspensions, or fee charges;
  • Sellers must hold valid accounts and authorisations on each Third-Party Marketplace before exporting listings;
  • Card Advantage does not guarantee that exported listings will be accepted or remain active on Third-Party Marketplaces;
  • Any disputes arising from listings on Third-Party Marketplaces must be resolved between the Seller and the relevant marketplace or buyer.

11. Intellectual Property

Platform Content: All content on the Platform, including the Card Advantage name, logo, design, software, and original text, is owned by Tomorrowready Limited or its licensors and is protected by New Zealand and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Platform content without our written permission.

User Content:Sellers retain ownership of the intellectual property in the images, descriptions, and other content they upload to the Platform (“User Content”). By uploading User Content, Sellers grant Card Advantage a non-exclusive, royalty-free, worldwide licence to host, display, process, and distribute that User Content for the purpose of operating the Platform and providing the Services. Sellers warrant that they have all necessary rights to upload their User Content.

Card Images: Card images and data sourced from third-party APIs (such as TCGdex) remain the property of their respective owners and are used under applicable licences.

12. Privacy & Data

Our collection, use, and handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

Card Advantage’s responsibilities as a digital platform in relation to user information are set out in the Privacy Policy and are conducted in compliance with the Privacy Act 2020.

13. Disclaimers & Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided on an “as is” and “as available” basis. Card Advantage does not warrant that the Platform will be uninterrupted, error-free, secure, or that defects will be corrected.
  • Card Advantage does not warrant that listings, Goods, or Seller descriptions are accurate, complete, reliable, or lawful.
  • Card Advantage excludes all liability for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Card Advantage’s total aggregate liability arising out of or relating to these Terms or the Platform is limited to the amount of subscription fees you have paid to Card Advantage in the 12 months preceding the claim.
  • Nothing in these Terms excludes, restricts, or modifies any rights or remedies available to you under New Zealand law that cannot be so excluded, restricted, or modified (including rights under the Consumer Guarantees Act 1993 where applicable).

Platform intermediary limitation: Because Card Advantage is not a party to any transaction between Sellers and Buyers, Card Advantage shall not be liable for any act or omission of a Seller or Buyer, including failure to deliver Goods, failure to pay, misdescription of Goods, breach of contract, or any other dispute between users.

14. Indemnity

You agree to indemnify and hold harmless Card Advantage, Tomorrowready Limited, its directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or in connection with:

  • Your use of the Platform;
  • Your breach of these Terms;
  • Your violation of any law or third-party right, including the Fair Trading Act 1986, Commerce Act 1986, Consumer Guarantees Act 1993, or Privacy Act 2020;
  • Any listing you create, including the accuracy of descriptions, images, and pricing;
  • Any transaction between you and another user;
  • Any claim that your User Content infringes the intellectual property rights of a third party.

15. Suspension & Termination

Card Advantage reserves the right to suspend or terminate your access to the Platform at any time, without prior notice, if:

  • You breach these Terms or any applicable law;
  • Your conduct causes or may cause harm to other users, the Platform, or Tomorrowready Limited;
  • We receive a credible complaint about your listings or conduct;
  • We are required to do so by law or by order of a court or regulatory authority.

You may terminate your account at any time by contacting support@cardadvantage.cc. Upon termination, your active listings will be removed from the Storefront. Provisions of these Terms that by their nature should survive termination (including sections on liability, indemnity, and intellectual property) shall remain in effect.

16. Dispute Resolution

Between Seller and Buyer: Disputes regarding Goods or transactions must be resolved directly between the Seller and Buyer. Card Advantage is not a party to these disputes and has no obligation to mediate, arbitrate, or resolve them, though we may provide communication tools to assist.

Between User and Card Advantage: If you have a dispute with us, you agree to first attempt to resolve it informally by contacting support@cardadvantage.cc. If the dispute cannot be resolved within 30 days, either party may pursue binding dispute resolution under the rules of the Disputes Tribunal of New Zealand (for claims within its jurisdiction) or the New Zealand courts.

Disputes Tribunal: For claims under NZ$30,000, the Disputes Tribunal is a low-cost, accessible option. See disputestribunal.govt.nz.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the “Last Updated” date, and, for significant changes, sending a notification to your registered email address. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts, except where the Disputes Tribunal has jurisdiction.

For the avoidance of doubt, these Terms incorporate and are subject to the provisions of the Fair Trading Act 1986, Consumer Guarantees Act 1993, Contract and Commercial Law Act 2017, Commerce Act 1986, Privacy Act 2020, and Unsolicited Goods and Services Act 1975, as applicable.

19. Consumer Rights Notice

New Zealand Consumer Rights: Nothing in these Terms limits or excludes any rights or remedies available to you under New Zealand consumer protection laws, including the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, where those rights cannot be legally excluded.
